Investor update: results against plan, risks and asks

An investor update is a periodic report to people who already hold an interest in the company, covering results against plan, what changed, the main risks and what the company needs from investors. The judgement that matters most is accuracy and consistency: say what happened, label every expectation as one, send the same core content to the same group, and have counsel review anything that could be read as a promise about returns.

Example excerpt

A sample update for a fictional hardware company

Sample section

Sample update from a fictional sensor company, Saltmarsh Sensors. All figures are invented for illustration, and this is not a template for a real offering. Headline: third-quarter installations were close to plan, and a supplier delay moved two sites into the fourth quarter. Results against plan: 14 installations completed against 16 planned. Figures are from our job tracker and are unaudited. What changed: we added a second field technician in August, which reduced the average wait for a site visit from nine days to six. Main risk: the controller board supplier has extended lead times to about ten weeks. We are qualifying a second supplier, with a decision due by November 15. Ask: introductions to two regional facilities managers, if any holder has relevant contacts. Expectation, not a commitment: if the second supplier is approved, we expect fourth-quarter installations to return to plan. The assumptions behind that expectation are listed in the section below. Next update: early January 2027, sent to the same holder group by the same route.

Section outline

The sections a holder expects to find

  1. Headline and period

The period covered, the date sent and the single most important change in one sentence. A holder who reads only this line should know whether anything needs their attention.

    60 words
  2. Results against plan

What was planned, what happened and the gap between them, with the source of each figure and whether an accountant has reviewed it.

    180 words
  3. What changed

Changes in the product, team, customers or operations that affect the picture for a holder. Leave out routine activity that does not change the outlook.

    150 words
  4. Risks and open issues

Each material risk with what is being done about it, and what is still unknown. Say plainly where the company does not yet have an answer.

    150 words
  5. Asks

The specific help wanted, such as a named introduction or a skill, with a deadline. Requests for new investment do not belong in this section, and need a separate document that counsel has approved.

    80 words
  6. Expectations and their assumptions

Any statement about the future, labelled as an expectation, with the assumptions beside it and the wording counsel has approved for forward-looking statements.

    100 words
  7. Contact and next update

Who holders should contact with questions, and the date and route of the next update.

Mistakes to avoid

Where investor updates create problems

Sending different detail to different holders

Giving some holders information that others do not receive can cause fairness and legal problems. Send the same core content to the whole group, and ask counsel before sharing anything that only some holders will see.

Presenting an expectation as a result

A sentence such as we will hit the target next year reads as a promise. Label it as an expectation, state its assumptions and have counsel review the cautionary wording.

Burying the material risk

A serious problem placed in the twelfth bullet point is still a problem the reader must dig for. Put the material risk in the headline section, with what you are doing about it.

Turning the update into a request for new money

An update that invites new investors to buy in may be treated as an offer of securities in some places, and that brings its own rules. Keep the update to existing holders, and leave any invitation to counsel.

Share the finished page

Send each update to the same group, by the same route

Team link

Share a draft by team link with the finance lead and counsel, not with holders, until the review is complete. Show the draft date at the top, so reviewers know which version they are checking.

Public link

Do not publish an investor update as a public link. Holders are a defined group, and a public page can reach people who hold nothing in the company.

HTML download

Download the HTML file of each approved update, named with the period and the date sent, and keep a record of who received it. That record shows the same content went to the same group.

WhatsApp share

Avoid the WhatsApp share button for investor updates. Chat messages are hard to keep as a formal record, so send the link through the channel your company uses for notices to holders.

Frequently asked questions

Is there a free investor update template?

A template can give you the headings: headline, results, changes, risks, asks and the next update. It cannot tell you which results every holder should see. Agree that list with your finance lead and counsel, then keep the template's order.

How is an investor update different from an annual report?

An investor update is a shorter, regular message to existing holders. An annual report covers a full year and often includes audited financial statements and a fuller account of governance. Whether an annual report is required depends on the company and its jurisdiction.

Can I write an investor update in Word or send it as a PDF?

Word and PDF output are not something Content Creator provides. Its single HTML page can be shared by link or downloaded as HTML. Counsel may require a particular format or channel for investor communications, so confirm that before you send.

Can an investor update ask existing holders to invest more?

Only after counsel has reviewed the wording. A request for more money can fall under securities rules, so keep the update to reporting and move any request for investment into a separate document that counsel has approved.

How to build it

  1. Follow the eight-step wizard: type, assets and description, images, branding, contact and call to action, Atty Suggestions, blueprint, and generate. Atty generates one HTML page in the background. Review it, then publish and share the page link or download the HTML file.
